Unified Terms of Service for Reach More products — the binding agreement between you and Namaa Al Mostaqbal Information Technology.

1. Introduction
These Terms (the "Terms") constitute a binding legal agreement between you (the "Customer" or "you") and Namaa Al Mostaqbal Information Technology ("Reach More" or "we"), and govern your use of the website, the platform, and the products and services provided by Reach More.
2. Acceptance, eligibility, and authority
By using the services, you acknowledge your acceptance of these Terms and of the Privacy Policy, which is incorporated by reference and forms an integral part of these Terms.
You acknowledge that you have the legal capacity to enter into a binding contract, and that you are duly authorized to contract on behalf of the entity or party you represent.
3. Definitions
- Services / Products (Reach More): an AI-powered conversational agent that operates over messaging channels such as WhatsApp and others.
- Third Parties: payment providers, hosting, analytics, messaging and social communication platforms, and others.
- Content: any data, text, images, files, templates, or messages you enter, create, or send through the services.
- End Users: the Customer's customers or the persons who interact with the agent through the connected channels.
- Privacy Policy: the Reach More privacy policy as published and amended from time to time, which complements these Terms.
4. Your account and access responsibility
You bear full responsibility for the confidentiality of the login credentials and for all activities carried out through your account or the accounts of the authorized users under you.
You must notify us immediately upon suspecting any security breach or unauthorized use of the account.
5. Scope of the service and its limits
The services are provided "as is" and in accordance with the selected plan and the features available within it.
The features or service functions may change as a result of product updates or changes in the policies of third parties (such as WhatsApp and others).
We do not guarantee the continuation of any integration with a third party if it changes its programming interfaces or its policies, or suspends the Customer's account.
6. Subscription, renewal, and cancellation
6.1 Subscription term and automatic renewal
Subscriptions are billed periodically (monthly or annually) according to your selection, and are automatically renewed unless you cancel before the renewal date through the cancellation mechanism within the platform or pursuant to a separate written agreement.
6.2 Changing plans and prices
Reach More may modify the plans or prices. Modifications take effect from the next billing cycle after notification or publication within the platform, to the extent permitted by law.
6.3 Cancellation
Cancellation leads to stopping future renewal only, and does not result in an automatic refund of the amounts paid for an existing subscription period, unless a special contract or applicable law provides otherwise.
6.4 Trial period
We may make available a free or discounted trial period in accordance with the conditions specified in the subscription offer. Trial access ends automatically upon expiry of the period, and the subscription may automatically convert to paid unless you cancel before the end of the trial period.
7. Payment, billing, and taxes
You must provide us with a valid payment method, and the deduction is made on the specified billing date. You are responsible for updating the payment method details when they change.
We do not store payment card data within our systems. This data is processed and stored at the approved payment provider, and we may only receive transaction identifiers or verification tokens for billing purposes.
You must give written notice of any objection to an invoice within thirty (30) days from its date of issuance, otherwise the invoice shall be deemed accepted and final.
Value-added tax or any other applicable statutory fees may be added pursuant to the applicable regulations.
In the event of a payment failure, we may suspend access to the service in whole or in part until the payment is completed, and some operational features may be restricted or deleted to protect the platform.
8. Provisions specific to Reach More
8.1 Usage limits
The plan may include usage limits such as the number of messages or analytics within the billing cycle.
8.2 No carry-over of balance
Any unused balance is not automatically carried over to a subsequent billing cycle, unless an offer or a special contract provides otherwise.
8.3 Pay-as-you-go
We may make available a pay-as-you-go model, under which excess consumption is calculated according to the approved pricing and added to the billing or deducted in accordance with the available payment mechanism.
8.4 Disclaimer of AI outputs
The outputs of Reach More rely on generative AI models that operate in a probabilistic manner, and may include errors or information that is inaccurate, incomplete, or unsuitable for the context.
The agent operates automatically and may send responses or carry out actions directly on behalf of the Customer without prior human review.
These outputs do not constitute professional advice, an undertaking, or a guarantee of results by Reach More. The Customer remains fully responsible for the agent's settings, the content provided to it, the policies adopted, and for any messages, decisions, or transactions carried out via the service towards end users.
9. Compliance with messaging channels
You are responsible for obtaining the customers' consent (Opt-in) where required, complying with channel policies and the template and content requirements, respecting unsubscribe requests (STOP) immediately, and complying with the marketing and communications regulations in force in the countries you target.
Reach More does not bear any responsibility for the restriction or blocking of accounts or the deterioration of the rating at channel providers as a result of the Customer's conduct or content.
10. Acceptable use and prohibitions
The use of the services for any unlawful or misleading purpose, or that infringes the rights of others or the policies of third parties, is prohibited, including, by way of example and not limitation:
- Unauthorized access or attempting to hack or disrupt the service.
- Sending content that infringes property or privacy rights, or contains fraud, abuse, or unsolicited messages.
- Reverse engineering, extracting trade secrets, copying or imitating the service, or building a competing product.
- Conducting benchmarking tests or publishing their results without written consent.
- Misusing integrations or API keys and interfaces.
- Using the service to send content related to legally prohibited activities.
11. Content, data, and Customer responsibilities
You warrant that you have the legal right to enter, process, and use the content and data through the services.
You bear responsibility for the accuracy of the product, order, and price data that you provide to the platform or import via the integrations.
You bear responsibility for complying with all regulations and laws applicable to your activity.
12. Intellectual property and licensing
All intellectual property rights in the platform, the software, the interfaces, the marks, the designs, and the documents belong to Reach More or its licensors.
We grant you a limited, non-exclusive, non-transferable, and revocable license to use the services during the period of your subscription and in accordance with these Terms.
This license does not grant you any right in the source code, trade secrets, trademarks, the Reach More logo, or in distributing the platform to third parties.
If you provide us with suggestions, comments, or development ideas ("Feedback"), we have the right to use them freely and without compensation to improve the services.
13. Confidentiality
Each party undertakes to maintain the confidentiality of the non-public information of the other party, and not to use or disclose it except for the purpose of performing these Terms or pursuant to a law or an order of a competent authority.
14. Third parties and integrations
The service may depend on third parties, and your use of them is subject to their own terms. Reach More does not bear responsibility for:
- Interruptions in third-party services or changes in their policies.
- Suspension or blocking of the Customer's accounts with a third party.
- Any losses arising from decisions or errors of third parties outside our control.
15. Suspension and termination
We may suspend or terminate your account in whole or in part, whenever possible, if:
- You have breached these Terms or the policies of third parties.
- There is suspicion of fraud, hacking, or a security risk.
- Payment failure continues.
- The use is causing harm to the platform or to others, or violates the regulations.
Effect of termination on data:
- The Customer loses the right of access to the platform and its features.
- The data is subject to the retention and deletion policy set out in the Privacy Policy (such as 30 days for PII data and 90 days for agent conversations after the end of the subscription, unless there is a regulatory obligation otherwise).
- The provisions that by their nature must continue after termination (such as confidentiality, intellectual property, limitation of liability, indemnity, governing law) shall continue.
16. Disclaimer of warranties
To the maximum extent permitted by law:
- The services are provided "as is" and "as available" without any express or implied warranties.
- We do not guarantee the achievement of specific commercial results (such as an increase in sales or conversion rates) nor the continuation of third-party integrations.
17. Limitation of liability
To the maximum extent permitted by law:
- Reach More does not bear responsibility for indirect, consequential, or special damages, or for loss of profits, data, or reputation.
- The total liability of Reach More for any claim shall not exceed the total amounts paid during the three (3) months preceding the cause of the claim.
- This limitation does not apply if precluded by applicable mandatory laws.
18. Indemnification
You agree to indemnify Reach More and its employees and representatives against any claims, losses, or costs arising from your use of the service, your content, or your violation of the regulations, the rights of others, or the policies of third parties.
19. Force majeure
Neither party shall be liable for delay or non-performance resulting from circumstances beyond reasonable control, with reasonable efforts being made to mitigate their effects.
20. Severability, waiver, and assignment
If any provision is deemed unenforceable, the remaining Terms shall remain in effect.
The non-exercise of any right shall not be deemed a waiver of it.
Reach More may assign this agreement as part of a restructuring, merger, or sale of assets.
21. Notices and communication
Notices may be made via the registered email, within the platform, or via the website.

22. Governing law and jurisdiction
These Terms are governed by and interpreted in accordance with the laws of the United Arab Emirates, and the competent courts in the United Arab Emirates shall have jurisdiction to consider any dispute, unless otherwise agreed in writing.
23. Amendment of the Terms
We may amend these Terms from time to time to reflect changes in our services, legal requirements, or best practices. The modification becomes effective upon publication, with the "Last updated" date at the top of the document being updated.
Reach More keeps a record of previous versions of the Terms. Your continued use of the services after the modification takes effect shall be deemed acceptance of the updated version.
